Contract Administrator/Paralegal

Job Description
The Corporate Paralegal’s primary responsibilities will
be to assist and support Accela’s internal legal counsel with compliance
and corporate governance matters, to assist with day-to-day transactional
and other legal matters, and to manage Accela’s record-keeping processes
for general corporate, equity, and intellectual property documentation.
Job Responsibilities
• Manage Accela’s board of directors’ package
preparation and distribution process;
• Prepare board resolutions and assist with other matters relating
to the board and its meetings, including drafting meeting
minutes, ensuring compliance with board committee charters, and preparing
documents for the annual meeting of stockholders;
• Maintain and update Accela’s equity registers;
• Monitor and maintain updates to corporate governance guidelines
and policies;
• Maintain the good standing of Accela’s business licenses
by completing required corporate governance and regulatory
filings and actions;
• Assist with documentation and information requests relating to
financial audits and corporate transactions;
• Assist Accela’s Contract Administrator in the drafting and
revision of contracts and other legal documents as required;
• Administer the Accela Legal Department’s document management
processes.
Required Qualifications
• 4 to 6 years experience as a corporate paralegal, of
which at least 1-2 years have been in an in-house setting;
• BA/BS degree from an accredited college or university;
• Strong corporate governance and corporate filing experience;
• Effective organizational skills and attention to detail;
• Strong written and oral communication skills;
• Above-average proficiency in Microsoft Office and Adobe Acrobat
applications; and
• Positive, team-centric attitude with confidence in commencing
and completing self-directed work.
Desired Qualifications
• Current experience with software licensing and government procurement
processes;
• Current California notary certification.
